General Terms and Conditions
These general terms and conditions govern all contractual relations between:

1. Scope
These conditions apply to any contract concluded with a professional client (B2B) or a consumer (B2C). They prevail over any client conditions unless expressly agreed otherwise in writing.
2. Formation of the Contract
The contract is formed upon signature of the quote or written confirmation. Any modification shall be the subject of a written amendment. Plans, measurements, and descriptions remain indicative.
3. Price – Revision – Unforeseen Circumstances
Prices are established based on the economic conditions in force. In accordance with Book 5 of the Belgian Civil Code (unforeseen circumstances), APOS Group SRL may request a renegotiation in the event of unpredictable circumstances making performance excessively costly.
4. Deposit
A minimum deposit of 30% is payable upon order. In the absence of payment, the contract may be suspended by operation of law.
5. Execution Deadlines
Deadlines are indicative. Any delay due to: bad weather, material shortages, strikes, client default, permit delays, or third-party intervention constitutes an exonerating event limiting liability.
6. Site Access
The client guarantees free, secure access compliant with safety standards. Any work stoppage attributable to the client may be invoiced.
7. Payment
Invoices are payable within 30 calendar days. In case of delay:
- Interest in accordance with the law of August 2, 2002 (B2B)
- Flat-rate penalty of 10% (minimum €75)
- Immediate enforceability of all open invoices
8. Exception of Non-Performance
APOS Group SRL may suspend its obligations in the event of non-payment or contractual breach.
9. Retention of Title
The goods supplied remain the property of APOS Group SRL until full payment has been received.
10. Acceptance of Work
Provisional acceptance constitutes approval. Final acceptance takes place after the resolution of any listed reservations. Failing written dispute within 8 days, the work is deemed accepted.
11. Liability
Liability is limited to the contract amount and capped at the amount covered by professional indemnity insurance. Indirect damages are excluded.
12. Decennial Liability
Applicable in accordance with articles 1792 and 2270 of the Civil Code for works affecting stability or waterproofing.
13. Warranty
The warranty covers defects attributable to APOS Group SRL. Excluded are: normal wear and tear, misuse, third-party intervention, lack of maintenance.
14. Subcontracting
APOS Group SRL may use subcontractors while retaining management and contractual responsibility.
15. Termination
In the event of unilateral termination by the client, a flat-rate compensation equal to 20% of the remaining amount due shall be payable.
16. Force Majeure
Any unpredictable and independent event (administrative restrictions, war, health crisis, shortages) suspends obligations.
17. Personal Data
Processing complies with the GDPR.
18. Partial Invalidity
The invalidity of any clause does not affect the validity of the other provisions.
19. Governing Law
Belgian law exclusively. Competent courts: district of the registered office.
